1. Agreement and Acceptance

These Terms and Conditions ("Terms") govern use of Lumacorp available at lumacorp.in (the "Platform"). By accessing or using the Platform, you accept these Terms and our Privacy Policy.

If you do not agree, do not access or use the Platform. If you use the Platform on behalf of an organization, you confirm you are authorized to bind that organization.

2. Company and Product Identity

Lumacorp is a product of Xentric Integrated Solutions Pvt Ltd ("Xentric", "we", "us", "our"). It is the product offered on this Platform.

3. Applicable Law in India

These Terms are intended to align with applicable Indian law, including the Indian Contract Act, 1872, the Information Technology Act, 2000 and applicable rules, the Digital Personal Data Protection Act, 2023 and applicable rules (as notified), the Copyright Act, 1957, and other applicable central or state laws.

Nothing in these Terms limits rights that cannot be waived under applicable law.

4. Eligibility and Account Use

• You must be legally competent to contract under Indian law.
• You must provide accurate and updated account details.
• You are responsible for account credentials and all activity under your account.
• You must promptly report unauthorized use or security incidents.

5. License and Permitted Use

Subject to these Terms, we grant a limited, non-exclusive, non-transferable, revocable right to use the Platform for lawful internal business operations.

6. Prohibited Conduct

You must not:

• Violate any law, regulation, or third-party right.
• Attempt unauthorized access, privilege escalation, reverse engineering, scraping, or data extraction beyond authorized use.
• Upload malicious code, interfere with availability, or compromise platform security.
• Use the Platform for fraudulent, defamatory, unlawful, or abusive activity.

7. Data Ownership and Processing

You retain ownership of data submitted by you or your authorized users. You grant us a limited right to host, process, transmit, back up, and display such data only to provide, secure, and improve the Platform, and to meet legal obligations.

8. Intellectual Property

The Platform, software, design, trademarks, logos, documentation, and related content are owned by or licensed to Xentric and are protected under applicable intellectual property laws in India. Except for the limited use right above, no rights are transferred.

9. Fees, Taxes, and Invoicing

Commercial use may be subject to subscription or contractual charges. Unless specified otherwise in a signed commercial agreement, charges are payable as invoiced, and applicable taxes including GST (if applicable) are extra.

10. Privacy and Security Commitment

Our processing of personal data is governed by the Privacy Policy and applicable Indian data protection and cyber laws. We implement reasonable technical and organizational safeguards; however, no internet-based service can guarantee absolute security.

11. Availability, Maintenance, and Changes

We may update, maintain, suspend, or modify features for legal, security, operational, or product reasons. Where practical, we will provide reasonable notice for material changes.

12. Suspension and Termination

We may suspend or terminate access for material breach, security risk, unlawful use, or legal/regulatory direction. On termination, your access ends and data handling will continue as per applicable law, contract, and our retention obligations.

13. Disclaimer of Warranties

To the extent permitted by law, the Platform is provided on an "as is" and "as available" basis. We do not warrant uninterrupted operation, error-free performance, or fitness for a specific purpose unless explicitly agreed in writing.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Xentric is not liable for indirect, incidental, special, punitive, or consequential losses, including loss of profit, revenue, or data. Aggregate liability for proven direct damages is limited to fees paid for the affected service during the 12 months preceding the claim, unless otherwise required by law.

15. Indemnity

You agree to indemnify and hold harmless Xentric, its directors, employees, and affiliates from third-party claims arising from your unlawful use of the Platform, your breach of these Terms, or your infringement of third-party rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Parties will attempt good-faith resolution first. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with seat and venue at Bengaluru, Karnataka, unless otherwise agreed in writing.

Subject to the above, courts at Bengaluru, Karnataka will have exclusive jurisdiction.

17. Updates to Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use after update means acceptance of revised Terms.
